Introductory Provisions

These General Terms and Conditions (hereinafter: GTC) contain the contractual terms and conditions of the Contracts concluded between SolNet Solutions Kft. and the Customer for the installation of a household-sized small power plant using solar panels (service contract); therefore, these GTC constitute an inseparable part of the Contract.

SolNet Solutions Kft. informs the Customer that the applicant submitting the connection request and the party to the Network Use Agreement must jointly declare in the power of attorney that the Customer or the Customer’s authorized representative shall act before the competent distribution system operator in matters relating to the installation of the household-sized small power plant.

Subject of the Contract

According to Act LXXXVI of 2007 on Electricity (hereinafter: the Electricity Act), a household-sized small power plant means a small power plant connected to the low-voltage grid whose connection capacity at a single connection point does not exceed 50 kVA. The establishment of a household-sized small power plant (hereinafter: the Equipment) is not subject to official authorization.

SolNet Solutions Kft., or its subcontractors involved in performance, shall sell the Equipment specified in the Contract and perform the Services specified in Section 3 of these GTC. The Customer shall accept such Equipment and Services and shall pay the Contract Fee to SolNet Solutions Kft.

Equipment and Services

The Equipment includes the mounting structure necessary for installing the solar panels, as well as all other materials necessary for assembling the system into working condition and connecting it to the grid. The detailed specifications and technical content of the Equipment and the other necessary materials shall be determined by the Contracting Parties in the Contract.

According to the Contract, SolNet Solutions Kft. shall provide the following Services to the Customer:

  • Design (preparation of the plans necessary for mounting the Equipment at the Customer’s premises, connecting it to the grid, and commissioning it)
  • Obtaining approval of the connection documentation
  • Construction of the mounting structure necessary for the placement of the Equipment
  • Installation of the Equipment (solar panels and inverter)

The handover and acceptance of the installed Equipment and completed Services shall take place at a time predetermined by SolNet Solutions Kft. and agreed with the Customer.

The Contracting Parties record that the Customer shall not be entitled to refuse performance by reference to minor defects that do not hinder the intended continuous and prescribed operation and where the performance otherwise complies with these GTC and the Contract.

Obligations and Rights of the Customer

The Customer has inspected, or had inspected, the Installation Site and declares that its structural conditions are suitable for the installation of the Equipment. The Customer shall inform the Contractor of any circumstance that may affect the installation of the Equipment. If the Customer makes a false statement or provides incorrect information to the Contractor, the Customer shall bear liability for the resulting damages.

The Customer shall pay the Fee for the Equipment and Services as specified in the Contract. In the event of late payment, SolNet Solutions Kft. shall be entitled to charge default interest to the Customer at the rate specified in the Hungarian Civil Code.

The Customer shall be obliged to accept the Equipment, provided that SolNet Solutions Kft. (or its subcontractor involved in performance) delivers the technical data sheet of the Equipment, other documents related to the operation and installation of the Equipment, and, if necessary, all certificates evidencing technical compliance. Individual parts of the Equipment may also be delivered separately; however, the Customer shall only make a statement to SolNet Solutions Kft. regarding performance after the handover and acceptance of the complete Equipment specified in the Contract.

The Customer shall provide all necessary data without delay for obtaining any permits that may be required for the performance of the Equipment and Services and shall otherwise support the performance of the Contract (e.g. by making legal declarations).

By signing the Contract, the Customer declares that the documents handed over prior to the conclusion of the Contract for the purpose of concluding the Contract correspond to reality.

If, during the inspection of meter point compliance, modernization or standardization of the meter point is deemed necessary, the execution and costs thereof shall be borne by the Customer. Until such modernization has been completed, the performance deadline of SolNet Solutions Kft. shall not commence.

The Customer shall create the technical conditions necessary for the continuous operation of the Equipment, establish the appropriate internal network, and perform the necessary maintenance work. In the absence of the above, SolNet Solutions Kft. expressly excludes its liability for any malfunction of the Equipment and failure of its operation.

If the Customer fails to pay the Fee as specified in the Contract and, as a result, SolNet Solutions Kft. terminates the Contract, the Customer shall grant SolNet Solutions Kft. access to the Installation Site at an agreed time within 30 days from the expiry of the payment deadline so that SolNet Solutions Kft., as the owner of the Equipment, may dismantle the Equipment at the Customer’s expense. In the event of dismantling, instead of the full price specified in the Contract, the Customer shall pay SolNet Solutions Kft. the full price of the Services already performed and 50% of the price of the Equipment. All reasonable costs associated with dismantling shall be borne by the Customer. SolNet Solutions Kft. shall not be obliged to restore the original condition of the Installation Site after dismantling. In the event of termination of the Contract for such reason, SolNet Solutions Kft. shall be entitled to retain from the amount already paid by the Customer the amount payable to SolNet Solutions Kft. in connection with the dismantling.

By signing the Contract, the Customer accepts that SolNet Solutions Kft. may process the personal data provided during the conclusion of the Contract for the purpose of performing the Contract, including scheduling and data reconciliation related to performance, checking the quality of performance, measuring customer satisfaction, and for the duration of the Contract and any related enforcement of claims, in accordance with the privacy notice published on www.solnet.hu, may transfer such data to its subcontractors, and its subcontractors may process and record such data for the same purposes.

The Customer shall hand over the documents specified in this section to SolNet Solutions Kft. within 14 days from the signing of the Contract in order for SolNet Solutions Kft. to comply with the specified performance deadline. Documents: signed Contract, signed power of attorney issued in the name of SolNet Solutions Kft., electricity bill not older than 6 months, and where necessary: title deed, owner’s consent, request for capacity expansion, notification of completion of roof renovation, or, in the case of financing or support provided by a financial service provider, the document approving such financing (proof that the Customer has received the loan or credit amount or the support).

Obligations and Rights of SolNet Solutions Kft.

  • Installation of the Equipment.
  • Performance of the Services.

SolNet Solutions Kft. (or its subcontractor involved in performance) shall act on behalf of the Customer (and/or the owner of the Installation Site) for the purpose of obtaining the permits or approvals necessary for the performance of the Equipment and Services. SolNet Solutions Kft. shall not be liable for delays arising from obtaining such permits or approvals if the delay is caused by circumstances beyond its control. In such case, the delay shall automatically extend all deadlines expiring after the occurrence of the delay.

SolNet Solutions Kft. shall cooperate in every respect with the Customer during the performance of the Contract and shall at all times act with the level of professional care required.

SolNet Solutions Kft. shall provide all goods, materials, tools, and all other items necessary for the work, whether temporary or permanent in nature. After transportation of the work equipment to the site, all work equipment of SolNet Solutions Kft. shall be deemed necessary exclusively for the performance of the work.

SolNet Solutions Kft. shall perform its tasks in such a manner that its work does not disturb the Customer’s work or daily life at the same location, and that SolNet Solutions Kft. does not hinder or endanger the Customer through its work.

SolNet Solutions Kft. shall, at its own expense, provide and maintain all warning signs necessary for the protection of the works or for the safety and convenience of others. SolNet Solutions Kft. shall also be responsible for maintaining the technical condition of completed but not yet handed-over works (or parts thereof) in like-new condition.

During the progress of performance, the Contractor shall periodically clear and remove surplus materials and waste from the work area. SolNet Solutions Kft. shall ensure that construction waste generated during the execution is transported to an authorized waste handler. After completion of performance, the Contractor shall remove all of its work equipment. The entire work area and all workplaces shall be left in a clean and orderly condition.

SolNet Solutions Kft. shall provide every opportunity for the Customer to inspect, assess, and check any part of the work area that will be covered or will not be visible later.

Upon completion of the works, the Contractor shall issue a written declaration stating that the work was carried out in accordance with the plans and fully complies with the applicable occupational safety, environmental protection, fire protection, and technical safety regulations and legal requirements.

If SolNet Solutions Kft. installs materials or equipment supplied by itself during performance, it shall provide the Customer with the quality and safety certificates of such installed materials and equipment.

SolNet Solutions Kft. shall be entitled to involve subcontractors in the performance of the Contract. SolNet Solutions Kft. shall be liable for the activities of the subcontractor(s) it uses in accordance with the provisions of the Hungarian Civil Code.

During the execution of the facility, SolNet Solutions Kft. shall comply with the technological instructions, requirements, and standards in force relating to execution and related activities, in particular the provisions of the following documents:

  • the laws, official regulations, European and Hungarian standards in force at the time of execution,
  • the working time schedule of SolNet Solutions Kft.,
  • occupational accident prevention and operational regulations,
  • the generally recognized technical safety and occupational health rules,
  • working at height,
  • Occupational Safety Manual,
  • MK11 Technical Manual,
  • the execution technical plans.

In the event of stock shortage or any other case where the Equipment specified in the Contract cannot be performed or supplied for reasons not attributable to the Contractor, SolNet Solutions Kft. shall be entitled to install equipment that is technically and qualitatively equivalent to or better than the Equipment specified in the Contract. SolNet Solutions Kft. shall in all cases inform the Customer of this within 7 days from becoming aware of it.

SolNet Solutions Kft. shall be entitled to reduce the Contract Fee specified in the Contract by unilateral declaration, provided that notice thereof is sent to the Customer 10 days prior to its entry into force. The fee reduction may not contain any provision detrimental to the Customer, and the right of unilateral amendment shall apply exclusively to the Contract Fee.

Performance Deadline

Submission of the connection request to the competent distribution system operator within fifteen (15) days from the entry into force of the Contract.

Completion of the execution within sixty (60) days from the handover of all documents specified in Section 4.10.

The deadlines specified in these GTC shall be strictly binding on the Contractor with respect to work performed under these terms. SolNet Solutions Kft. shall only be entitled to perform in advance if the Customer has given prior written consent.

Work Schedule

During the first work phase, SolNet Solutions Kft. shall survey the site and the Customer’s needs, prepare a design for the execution, and based on this prepare the contractual offer it considers most suitable for the Customer and make a proposal regarding the Equipment. If the Customer accepts the Contract, the Customer shall return the Contract sent by SolNet Solutions Kft., signed, within five (5) calendar days.

During the second work phase, SolNet Solutions Kft. shall submit the connection request to the competent regional distribution system operator, and after receiving a response from the distribution system operator, shall send the connection documentation to the competent regional distribution system operator within ten (10) calendar days, obtain the necessary permits, place orders for the materials required for the installation of the Equipment (in particular inverter and solar panels), the required installation materials, and, if necessary, coordinate the execution works with the authorities.

During the third work phase, following the approval of the connection documentation, SolNet Solutions Kft. shall perform the installation and commissioning of the Equipment.

If SolNet Solutions Kft. considers that it will not be able to meet the deadlines undertaken in the Contract for any reason, it shall immediately inform the Customer of the reason for and expected duration of the delay. Thereafter, SolNet Solutions Kft. shall take all measures necessary to accelerate progress and ensure compliance with the performance deadline. The Contractor shall not be entitled to any separate remuneration for such measures.

The assessment and approval of the documents required for execution are the responsibility of the competent regional distribution system operator, and the Contractor has no influence over the approval deadline.

Place of Performance

The place of performance is the property (and municipality) designated in the Contract.

Conditions for handing over the Installation Site to SolNet Solutions Kft.:

(i) entry into force of the Contract;
(ii) connection documentation approved by the competent regional distribution system operator;
(iii) provision by the Customer of the Installation Site in a condition suitable for work.

Fees and Settlement

The invoice/debit note shall be issued as specified in Section 4 of the Contract.

If the due date of the invoice/debit note falls on a public holiday or non-working day, the due date shall be the first working day following the original due date. The invoice must always indicate the name and residential/registered address of the Contracting Party, as well as the name of SolNet Solutions Kft.

If the conditions set forth in this section are not met, the Customer shall be entitled to return the invoice unpaid. The Customer shall not be liable for any damages arising from returning the invoice. If the invoice is returned for the above reasons, SolNet Solutions Kft. may not claim default interest on account of late payment.

SolNet Solutions Kft. retains title to the Equipment until it has been finally commissioned and the Fee has been paid to it in full. Following commissioning, possession of the Equipment shall pass to the Customer. After commissioning, the Customer shall take all measures reasonably expected from it to ensure that the Equipment remains available for its use in undisturbed and operational condition, including, in particular, preservation and protection measures against theft and damage (duty of care). If the condition of the system is damaged, or if it is stolen or vandalized, this shall not affect the Customer’s obligation to pay the Fee.

The Customer shall pay the contract amendment administrative fee specified in Annex 2 to the GTC if the contract amendment is material. A contract amendment shall be deemed material if it determines substantive terms significantly different from the original contractual conditions. An amendment shall always be considered material if:

  • the amendment changes the economic balance of the contract (this includes, in particular, a change in the Fee or the payment structure); or
  • the amendment extends the subject matter of the Contract to a significant new element compared to the obligations incumbent on the Contractor under the original Contract (this includes, in particular, a change in the type of installation or a change in the number of solar panels until technical handover and acceptance, or a change in inverter type until the start of installation);
  • as a consequence, the Services already performed must be repeated in accordance with the amendment.

Warranty, Statutory Warranty, Performance Security

The warranty period shall be defined in the Contract.

The warranty shall become void if the Customer opens or disassembles the Equipment without the permission of SolNet Solutions Kft., or if SolNet Solutions Kft. or a third party proves that the defect occurred due to improper use, modification, unprofessional handling, improper storage, force majeure/natural damage, damage caused by living creatures, or any other reason arising after purchase.

The Customer may enforce warranty rights against the Contractor by notifying solnet.hun@gmail.com or by post at the postal address of SolNet Solutions Kft.

In the event of any discrepancy between the contents of the Contract and the warranty certificate, the contents of the Contract shall prevail.

In the event of a defect covered by warranty, the costs of repair, any replacement parts, and installation costs, including transportation and travel expenses, shall be borne by SolNet Solutions Kft.

Repairs of defects not covered by the warranty shall, if the Customer requests the Contractor verbally or in writing, be carried out by SolNet Solutions Kft. at the unilaterally amendable published rates set out in Annex 2 or at a price agreed by the parties.

The warranty shall not cover the repair of damage caused by natural disaster, vandalism, or other improper operation or intervention.

SolNet Solutions Kft. undertakes to investigate the defect reported by the Customer within 5 working days from the defect notification. The deadline for remedying the defect shall be 30 days from the investigation of the defect.

SolNet Solutions Kft. shall bear all documented costs incurred by the Customer in connection with the enforcement of its warranty claim regarding the Services (call-out, replacement, etc.) insofar as such costs are attributable to SolNet Solutions Kft.’s own defective performance.

A new warranty period shall commence for the repaired or replaced product.

SolNet Solutions Kft. shall be liable for damages resulting from failure to fulfill or improper fulfillment of its warranty obligations.

If repair work is required for a defect not covered by the warranty, SolNet Solutions Kft. shall be entitled to enforce against the Customer the costs specified in Annex 2.

Defective and Delayed Performance

Upon detection of defective performance during the installation of the Equipment or the performance of the Services, the Customer shall immediately notify the sales representative in writing at the email address specified in the Contract, by taking minutes and listing in detail the defective Equipment or Services and the defects identified.

If, at any time during performance of the Contract, SolNet Solutions Kft. finds itself in a situation that prevents timely performance of the Contract, it shall immediately notify the Customer in writing of the fact, expected duration, and reasons for the delay, and shall simultaneously propose a reasonable additional deadline of no more than 20 days within which it can perform. If SolNet Solutions Kft. is still unable to perform within this extended additional deadline, the parties may set a new deadline by mutual agreement; if the Customer does not accept this new additional deadline, SolNet Solutions Kft. shall automatically credit the Customer from the issued invoice a daily penalty equal to 0.05% of the price of the Equipment and Services for each day of delay beyond the additional deadline. The total amount of the penalty may not exceed 3% of the contractual price.

The Parties agree that in the event of failure to comply with the conditions set out in these GTC or in the Contract, the breaching Party shall pay defective performance liquidated damages in the amount of HUF 100,000 (one hundred thousand forints) to the other Party. Liquidated damages for frustration/non-performance shall be 0.5% of the Contract Fee. In the event of frustration due to reasons attributable to the Contractor, if the Customer has already paid the Contract Fee, title to the Equipment shall transfer to the Customer. If SolNet Solutions Kft. obliges the Customer to pay frustration liquidated damages, it shall not be entitled to claim the contract termination fee set out in Section 11.

SolNet Solutions Kft. shall be liable for damages caused to the Customer by its defective performance and shall indemnify the Customer against such claims.

Acceptance of defective or delayed performance shall not constitute a waiver of the right to enforce legal consequences.

Term and Termination of the Contract

The Contract shall enter into force on the date it is signed by both parties and shall be concluded for a fixed term lasting until the installation of the Equipment and completion of the Services.

Either party may terminate the Contract with 5 days’ notice in the event of a serious breach of contract by the other party. Serious breach of contract shall include in particular if:

  • bankruptcy, liquidation, or voluntary dissolution proceedings are initiated against the other Contracting Party; or
  • the other Contracting Party suspends its business activities or payments; or
  • the other Contracting Party wholly or partly loses its freedom of decision or the right to dispose of its assets in any manner, irrespective of whether such situation is reversible; or
  • the Customer is in delay of 20 days with payment of the Fee.

If the Customer wishes to terminate the Contract before the expiry of the fixed term, before the approval by the distribution system operator and the obtaining of permits in the second work phase defined in Section 6.5.2, but before the start of the second work phase, the Customer may initiate termination of the Contract by mutual agreement in writing with the Contractor. If SolNet Solutions Kft. agrees to termination by mutual agreement, it shall be entitled to claim the contract termination fee specified in Annex 2 to these GTC. The Customer shall pay the contract termination fee within 15 days from receipt of the relevant invoice/debit note.

If the Customer wishes to terminate the Contract before the expiry of the fixed term, after the approval by the distribution system operator and the obtaining of permits in the second work phase defined in Section 6.5.2, but before the start of the third work phase, the Customer may initiate termination of the Contract by mutual agreement in writing with the Contractor. If SolNet Solutions Kft. agrees to termination by mutual agreement, it shall be entitled to claim the contract termination fee specified in Annex 2 to these GTC. The Customer shall pay the contract termination fee within 15 days from receipt of the relevant invoice/debit note.

If the Customer wishes to terminate the Contract before the expiry of the fixed term, after ordering the materials required for the installation of the Equipment in the second work phase defined in Section 6.5.2, but before the start of the third work phase, the Customer may initiate termination of the Contract by mutual agreement in writing with the Contractor. If SolNet Solutions Kft. agrees to termination by mutual agreement, it shall be entitled to claim the contract termination fee specified in Annex 2 to these GTC. The Customer shall pay the contract termination fee within 15 days from receipt of the relevant invoice/debit note.

If the Customer wishes to terminate the Contract before the expiry of the fixed term, at the time the installation team appears on site during the third work phase defined in Section 6.5.3, but before the installation of the system is carried out, the Customer may initiate termination of the Contract by mutual agreement in writing with the Contractor. If SolNet Solutions Kft. agrees to termination by mutual agreement, it shall be entitled to claim the contract termination fee specified in Annex 2 to these GTC. The Customer shall pay the contract termination fee within 15 days from receipt of the relevant invoice/debit note.

If the Customer wishes to terminate the Contract before the expiry of the fixed term after completion of the system installation work during the third work phase defined in Section 6.5.3, the Customer may initiate termination of the Contract by mutual agreement in writing with the Contractor. If SolNet Solutions Kft. agrees to termination by mutual agreement, it shall be entitled to claim the contract termination fee specified in Annex 2 to these GTC. The Customer shall pay the contract termination fee within 15 days from receipt of the relevant invoice/debit note.

If SolNet Solutions Kft. obliges the Customer to pay a contract termination fee, it shall not be entitled to claim the frustration liquidated damages set out in Section 10.

Change Management (Additional Work, Extra Work)

SolNet Solutions Kft. shall also perform subsequently ordered work, in particular work that becomes necessary due to plan modifications, if performance thereof does not render its task disproportionately burdensome (extra work). Any performance differing from the original scope (including extra work) may only be carried out on the basis of the prior written declaration of the Customer or its representative. In the absence thereof, SolNet Solutions Kft. may perform differently from the approved content at its own risk and responsibility.

Occupational Safety, Accident Prevention, Fire Protection and Environmental Protection Provisions

SolNet Solutions Kft. shall be responsible for organizing occupational safety and for complying with legislation on prevention and accident elimination, as well as fire protection, security, and environmental regulations.

If SolNet Solutions Kft. causes environmental pollution or environmental damage, it shall immediately begin on-site mitigation (preventing further pollution, localization). In such case, it shall notify the Customer of the parameters of the environmental incident, such as: causes, type of pollutant, extent of pollution, measures taken and further measures required. Notification of the incident to the authorities, investigation of the causes, and elimination thereof shall be carried out in a manner agreed with the environmental protection specialist of SolNet Solutions Kft.

If significant noise impact is to be expected during the work, SolNet Solutions Kft. shall determine how compliance with the relevant requirements will be ensured and monitored.

SolNet Solutions Kft. shall ensure the following in relation to residual materials and waste generated during its activities:

  • proper removal from the site,
  • further treatment,
  • fulfillment of other statutory obligations applicable to waste generators, such as record-keeping of materials used and waste generated, and reporting obligations to authorities.

During performance, SolNet Solutions Kft. shall comply with, and ensure that its employees, subcontractors, and contributors comply with, the following rules applicable to work performed by external persons in the Customer’s operating area:

  • Occupational Safety Manual,
  • Fire Safety Regulations,
  • Property Protection Instructions,
  • Environmental Protection Instructions.

Liability, Liability Insurance

If SolNet Solutions Kft. damages any utility or facility during performance, it shall restore it at its own expense. It shall report the fact of the damage.

If SolNet Solutions Kft., by violating legal requirements or by breaching its obligations set out in these GTC or in the Contract, causes damage to the Customer and the injured party asserts a claim for damages against the Contractor, SolNet Solutions Kft. shall compensate the injured party directly for the damage, but only up to the amount of the Contract Fee specified in the Contract. In such case, the compensation provided by SolNet Solutions Kft. shall also extend to the costs incurred by the Customer in connection with the claim for damages.

SolNet Solutions Kft. shall forward the damage claim received by it to its subcontractor, who shall send to the Contractor within 30 calendar days full probative private documents evidencing the fact of consultation with the injured party and the full settlement of the damage claim. If SolNet Solutions Kft. does not prove the full settlement of the damage claim by documentary evidence, the Customer shall be entitled to offset the amount of the submitted damage claim considered justified by it, together with related costs (expert fees, surveys, etc.), against the next invoice of SolNet Solutions Kft.

Confidentiality

The Parties agree that they shall provide official information to third parties, including the media, regarding this Contract and its annexes, as well as any facts, circumstances, and other information arising during performance, only in a manner previously agreed in writing with the other Party. This provision shall not apply to disclosures made to owners or disclosures required under applicable laws.

Governing Law

The provisions of these GTC shall be applied and interpreted in accordance with the laws of Hungary. In matters not regulated by these GTC, the provisions of the Hungarian Civil Code shall primarily apply.

Any dispute arising out of or in connection with these GTC or the Contract, including any dispute concerning its breach, termination, validity, or interpretation, shall fall within the jurisdiction of the court having competence under the rules of Hungarian civil procedure.

Force Majeure

Neither SolNet Solutions Kft. nor its subcontractor shall be liable for non-performance of obligations set out in these GTC or in the Contract if the breach of contract was caused by a circumstance beyond its control, unforeseeable at the time of conclusion of the contract, and it was not expected to avoid or eliminate such circumstance (“force majeure”); such circumstances include events over which the Contracting Party has no control, unless such circumstances arose on the side of the breaching party for reasons attributable to it.

The Contracting Party reporting the force majeure event shall notify the other Party in writing of the event and its expected duration, which it must substantiate. The party affected by the force majeure event shall identify those obligations indispensable for performance of the Contract that it is or will be prevented from performing by the force majeure. The notice must be sent within 14 days from the date on which the Party became aware, or should have become aware, of the force majeure event or the circumstances giving rise to it.

Communication

Unless otherwise provided, the Parties shall primarily make the notices and requests prescribed during performance of the Contract in writing. If justified by urgency or the nature of the notice, notifications may also be made by telephone or email. Procedural matters related to performance of the Contract may also be coordinated by telephone.

Notifications shall be deemed delivered upon personal receipt, on the 5th working day after postal dispatch, or immediately upon receipt of the email read receipt.

The Customer’s contact person shall be defined in the Contract. On behalf of SolNet Solutions Kft., communication shall be handled by the personal sales representative concluding the Contract.

The basis of communication between the Parties shall be correspondence by email; therefore, the Contract signed by the Parties and sent as an attachment to an email message shall be accepted by the Contracting Parties as being in writing.

The Customer may submit comments and complaints related to the services of SolNet Solutions Kft. by sending them to solnet.hun@gmail.com. SolNet Solutions Kft. shall begin investigating such complaint within 15 calendar days and shall send its substantive response to the Customer no later than within 30 days.

Deviations from the General Terms and Conditions in the Case of Residential Customers

Term and Termination of the Contract

The Contract shall enter into force on the date it is signed by both parties and shall be concluded for a fixed term lasting until the installation of the Equipment and completion of the Services.

If the Residential Customer wishes to pay the Contract Fee through financing by a financial service provider, the Contract shall enter into force after signature by both Contracting Parties only if the Residential Customer’s loan application, grant application, or support application is approved. In such case, the date of entry into force of the Contract shall be the date on which SolNet Solutions Kft. is presented, within 30 days from signing the Contract, with the certificate issued by the financial service provider confirming the positive assessment of the loan application or authorization request submitted to the financial service provider chosen by the Residential Customer, or the signed loan or credit agreement. The Contract shall be concluded for a fixed term lasting until the installation of the Equipment, completion of the Services, and payment in full of the entire Fee of the solar panel system.

The Residential Customer shall be entitled to withdraw from the Contract without giving reasons until the 14th day from the date of entry into force of the Contract or, if performance of the Service has commenced, to terminate the Contract without giving reasons until the 14th day from the date of entry into force of the Contract. The right of withdrawal/termination may be exercised using the model declaration set out in Annex 2 of Government Decree 45/2014 (II.26.) on the detailed rules of contracts between consumers and businesses, or by any other declaration clearly expressing the intention to withdraw/terminate. Withdrawal/termination shall be deemed valid if the Residential Customer sends its declaration to the registered office address or email address specified in the Contract before the expiry of the applicable deadline.

If, after the commencement of performance of the Services, the Residential Customer terminates the Contract within the period specified in Section 19.1.3, the Residential Customer shall pay SolNet Solutions Kft. a proportionate fee for the Service performed until the time of communication of the termination to the Contractor, provided that performance commenced within the period available for exercising the termination right expressly at the request of the Residential Customer or with the Residential Customer’s express consent.

If the Residential Customer validly exercises its right of withdrawal set out in Section 19.1.3 of these GTC, the Contract shall cease to have effect and SolNet Solutions Kft. shall be obliged, at the Residential Customer’s expense, to remove the Equipment and other tools necessary for installation from the Installation Site and to refund within 14 days from becoming aware of the withdrawal the full amount of the Fee already paid by the Residential Customer to SolNet Solutions Kft., using the same method by which the Residential Customer made the payment. Until the Residential Customer provides the possibility for the removal of the Equipment, SolNet Solutions Kft. shall be entitled to retain the Fee to be refunded as a result of the withdrawal.

Defective Performance

SolNet Solutions Kft. shall be liable for defective performance of the Services under statutory warranty for defects. Under such statutory warranty, the Residential Customer may request repair or replacement, unless the performance of the selected warranty right is impossible or would result in disproportionate additional costs for the Contractor, or the Residential Customer may request a proportionate reduction of the Fee, may repair the defect itself or have it repaired by another party at the expense of SolNet Solutions Kft., or may withdraw from the Contract if SolNet Solutions Kft. did not undertake the repair or replacement, cannot fulfill such obligation within the deadline set by the Parties, or if the Residential Customer’s interest in repair or replacement has ceased. The Residential Customer may enforce its statutory warranty claim within two years from performance.

If the Equipment does not comply with the quality requirements in force at the time the manufacturer placed the Equipment on the market, or does not have the properties described by the manufacturer, the Residential Customer may request that SolNet Solutions Kft. (or the manufacturer of the Equipment) repair the Equipment or, if repair is not possible within an appropriate time and without prejudice to the interests of the Residential Customer, replace the Equipment. The Residential Customer may enforce its product warranty claim within two years from performance.

If the Residential Customer disagrees with the response given to its complaint submitted to the Contractor, then in the case of a complaint relating to the conclusion, validity, legal effects, and termination of the Contract, as well as breach of contract and its legal effects, the Residential Customer may initiate proceedings before the Budapest Conciliation Board (address: H-1016 Budapest, Krisztina krt. 99.; customer service phone number: 06-1-488-2131; email: bekelteto.testulet@bkik.hu), or may turn to a court in accordance with the rules of Hungarian civil procedure. A condition for initiating proceedings before the Budapest Conciliation Board is that the Customer must first attempt to settle the dispute directly with the Contractor.

The Residential Customer shall not incur any additional costs in connection with the use of a means of distance communication used for the conclusion of the Contract. Each Contracting Party shall bear its own costs incurred in this connection.

Miscellaneous

By signing the Contract, the Customer makes an offer to conclude the Contract with the content specified in these GTC and in the Contract. Before conclusion of the Contract, the Customer has the right to withdraw its offer. SolNet Solutions Kft. shall be entitled, at its own discretion, to accept or reject the Customer’s contractual offer unilaterally, and in particular shall be entitled to reject the Customer’s contractual offer if the Contract arrives at any of the contact details specified in Section 1 of the Contract more than 30 calendar days after it was sent by SolNet Solutions Kft.

SolNet Solutions Kft. declares that it does not have a code of conduct within the meaning of the Act on the prohibition of unfair commercial practices against consumers.

The Customer declares that it has become familiar with the contents of these GTC and accepts them.

The Contract may only be amended by mutual agreement in a document signed by both Parties, unless the Contract or these GTC provide otherwise.
